# DVXtract END-USER LICENCE AGREEMENT

This Software Licence Agreement ("Agreement") governs the use of DVXtract ("Software"), provided by Mavabé Technical Consultancy B.V., trading as Batch-A ("Licensor").

By installing, copying, accessing or using the Software, the customer or organisation to whom the licence has been issued ("Licensee") agrees to the terms of this Agreement.

If the Licensee does not agree to these terms, the Software must not be used.

## 1. LICENCE GRANT

Subject to payment of any applicable licence fee and compliance with this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable and non-sublicensable right to use DVXtract during the validity period stated in the licence file supplied by the Licensor.

The Software is licensed, not sold. All rights not expressly granted under this Agreement are reserved by the Licensor.

## 2. LICENCE PERIOD

Unless otherwise agreed in writing, a DVXtract licence is valid for one year from its date of issue.

The Software may provide a limited grace period following expiry to facilitate licence renewal. A grace period does not extend the contractual licence period or create an entitlement to continued use.

Continued use after the applicable licence and grace periods requires a renewed licence.

## 3. USERS AND COMPUTERS

Each DVXtract licence is issued for use by one individual user.

The licence is not technically bound to a specific computer. The licensed
user may therefore install and use the Software on multiple computers used
by that individual.

A licence may not be shared between users. Each individual using the
Software requires a separate valid licence unless otherwise agreed in
writing with the Licensor.

The absence of technical machine binding does not permit the Software or
licence file to be shared with, or used by, other unlicensed users.

## 4. LICENCE FILE

DVXtract requires a valid licence file issued and digitally signed by the Licensor.

The Licensee may make reasonable backup copies of its licence file but may not modify, forge, generate or attempt to circumvent the licence or signature-validation mechanism.

A licence file may only be used by the Licensee for whom it was issued.

## 5. RESTRICTIONS

Except where applicable law expressly provides otherwise, the Licensee may not:

* sell, rent, lease, sublicense, redistribute or otherwise make the Software available to a third party;
* provide its licence file to another company, organisation or unauthorised person;
* modify or create derivative works of the Software;
* reverse engineer, decompile or disassemble the Software;
* circumvent, disable or interfere with licensing or other technical protection mechanisms;
* remove or alter copyright, trademark or proprietary notices; or
* use the Software in violation of applicable law.

The Licensee may make reasonable backup copies of the Software for its own use.

## 6. OWNERSHIP

DVXtract, including its software, design, documentation and associated intellectual property, remains the property of the Licensor and/or its licensors.

No ownership rights are transferred to the Licensee under this Agreement.

## 7. DELTAV AND THIRD-PARTY PRODUCTS

DVXtract is an independent product and is not affiliated with, endorsed by, sponsored by or supported by Emerson Electric Co. or its affiliates.

DeltaV and other product names may be trademarks or registered trademarks of their respective owners.

No rights in third-party trademarks or products are granted under this Agreement.

## 8. ENGINEERING USE AND VALIDATION

DVXtract processes engineering information contained in DeltaV FHX export files and may generate new or modified FHX content.

The Licensee is solely responsible for reviewing, testing and validating the output of DVXtract before importing or otherwise using that output in any engineering, development, test, validation or production environment.

The Software must not be treated as a substitute for appropriate engineering review, change control, testing, qualification or validation procedures.

The Licensee remains responsible for determining whether use of the Software and its output complies with its applicable quality systems, procedures and regulatory requirements.

## 9. WARRANTY

The Software is provided on an "as is" and "as available" basis.

The Licensor does not warrant that the Software will be error-free, that it will identify or process every possible FHX construct, or that output generated by the Software will be suitable for a particular system or purpose.

To the maximum extent permitted by applicable law, all warranties not expressly stated in writing are excluded.

## 10. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Licensor shall not be liable for indirect, incidental, special or consequential damages, including loss of production, loss of data, loss of profits, business interruption or costs resulting from the use of, inability to use, or reliance upon the Software or its output.

The Licensee is responsible for maintaining appropriate backups and for independently reviewing and validating engineering data before use.

Where liability cannot legally be excluded, the Licensor's aggregate liability arising from the Software shall, to the extent permitted by law, be limited to the licence fees paid by the Licensee for DVXtract during the twelve months preceding the event giving rise to the claim.

## 11. SUPPORT AND UPDATES

Unless separately agreed in writing, purchase of a DVXtract licence does not guarantee any particular level of support, response time, update frequency or future functionality.

The Licensor may provide corrections, improvements or new versions at its discretion.

A valid licence may be used with updated versions made available by the Licensor during the applicable licence period unless different terms are expressly stated for a particular release.

## 12. TERMINATION

The licence terminates automatically when its validity period, including any technical grace period, has expired unless renewed.

The Licensor may terminate the licence if the Licensee materially breaches this Agreement and fails to remedy the breach where remediation is reasonably possible.

Upon termination, the Licensee must cease using the Software and, where applicable, remove copies of the Software and licence file from systems under its control.

## 13. GOVERNING LAW

This Agreement is governed by the laws of the Netherlands.

Any dispute arising from or relating to this Agreement shall be subject to the jurisdiction of the competent courts in the Netherlands, unless mandatory applicable law requires otherwise.

## 14. ENTIRE AGREEMENT

This Agreement, together with any applicable quotation, purchase order accepted by the Licensor, invoice or other written commercial agreement between the Licensor and Licensee, constitutes the agreement governing use of DVXtract.

Where separately agreed written commercial terms conflict with this Agreement, those separately agreed terms shall prevail to the extent of the conflict.
